Terms of Service

Ayoola Property Management & Sourcing Services Ltd.

These Terms of Service (“Terms”) govern your access to and use of the services provided by Ayoola Property Management & Sourcing Services Ltd. (“Ayoola,” “we,” “us,” or “our”). By using our platform or services, you agree to be bound by these Terms.

1. Nature of Our Role

Ayoola operates as:

  • A property manager, acting on behalf of landlords and property owners
  • A service intermediary, connecting property owners, tenants, and clients

Unless explicitly stated, Ayoola does not own the listed properties and does not guarantee the condition, suitability, or legality of third-party listings.

2. Services Provided

Our services include, but are not limited to:

  • Property management
  • Property sourcing
  • Shortlet and rental coordination
  • Construction and project management

Services may vary depending on individual agreements and do not constitute legal, financial, or real estate investment advice.

3. Eligibility & User Accounts

By using our services, you agree that:

  • You are at least 18 years old
  • You will provide accurate and complete information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You accept full responsibility for all activities conducted under your account

We reserve the right to suspend or terminate accounts at our discretion, without prior notice, where necessary.

4. Bookings & Payments

  • All bookings are subject to availability and confirmation
  • Full payment must be made before any booking is confirmed
  • Ayoola may charge service or management fees, which will be disclosed where applicable
  • Additional charges may apply for:
    • Property damages
    • Extended stays
    • Violations of agreed terms

All payments are final unless expressly stated otherwise. Any chargebacks or payment disputes may result in account suspension or legal action.

5. Cancellation & Refund Policy

  • Cancellations made 14 days or more before the booking date may be eligible for a partial refund
  • Cancellations made within 7 days may receive a reduced refund
  • Last-minute cancellations may be non-refundable
  • Service fees are non-refundable
  • Refund processing timelines depend on third-party payment providers

Specific refund percentages and timelines will be communicated where applicable.

6. Landlord Obligations

Landlords and property providers agree to:

  • Provide accurate and truthful property information
  • Maintain properties in safe, habitable, and lawful condition
  • Honour all confirmed bookings

Landlords are solely responsible for compliance with applicable laws, taxes, and regulations.

Ayoola reserves the right to:

  • Remove listings
  • Suspend or terminate landlord access for non-compliance

7. Guest / Tenant Responsibilities

Guests and tenants agree to:

  • Use properties responsibly and respectfully
  • Avoid illegal, disruptive, or unsafe activities
  • Pay for any damages caused during their stay

Violation of these terms may result in immediate termination of stay without refund.

8. Property Inspection & Use Disclaimer

Clients are responsible for verifying and inspecting properties before making final decisions.

Ayoola does not guarantee:

  • Property condition beyond provided descriptions
  • Suitability for specific purposes

9. Limitation of Liability

To the maximum extent permitted by law, Ayoola shall not be liable for:

  • Actions or omissions of landlords, tenants, or third parties
  • Property defects or inaccuracies in listings
  • Losses arising from false or misleading information
  • Service interruptions, platform downtime, or external disruptions

This includes, but is not limited to, events beyond our control such as power outages, network failures, or natural disasters (“force majeure”).

Our total liability is limited to the amount of service fees paid to Ayoola.

10. Indemnification

You agree to indemnify and hold harmless Ayoola, its directors, employees, and partners from any claims, damages, liabilities, or expenses (including legal fees) arising from your misuse of the platform, violation of these Terms, or interactions with other users.

11. Fraud Prevention & Verification

We reserve the right to verify user identity, request documentation for property ownership or transactions, and suspend or terminate accounts involved in suspected fraudulent activity.

12. Fees & Commissions

Where applicable, Ayoola may charge service fees, management fees, or commission on property sourcing or transactions. All applicable fees will be communicated prior to confirmation of services.

13. Shortlet & Rental Rules

  • Check-in and check-out times must be adhered to
  • Unauthorized guests or events may attract penalties
  • Security deposits may be required and used to cover damages or violations

14. Termination

We may suspend or terminate access to our services for fraudulent activity, violation of these Terms, or misuse of our platform. Termination does not affect any outstanding financial obligations.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

16. Dispute Resolution

Parties agree to first attempt to resolve disputes amicably. If unresolved, disputes shall be subject to the jurisdiction of Nigerian courts or resolved through arbitration within Nigeria.

17. Privacy & Data Protection

We are committed to protecting your data in accordance with applicable laws, including the Nigeria Data Protection Regulation (NDPR). Use of our services is also governed by our Privacy Policy.

18. Updates to Terms

We reserve the right to modify these Terms at any time. Users will be notified of significant changes via email or platform notification. Continued use of our services constitutes acceptance of the updated Terms.
